TERMS AND CONDITIONS

Training, Capacity Building, Seminars & Conferences

These Terms and Conditions (“Terms”) govern all training, capacity building programmes, seminars, workshops, and conferences (“Programmes”) organised, delivered, or facilitated by JPCann Associates Limited (“the Company”, “we”, “us”, or “our”).

By submitting a nomination, registration, booking, confirmation, or payment—whether as an individual participant or as a corporate or public institution—you agree to be bound by these Terms.

1. Scope of Application

These Terms apply to:

  • In-house (customised) training programmes
  • Open-to-public training programmes
  • Local and international programmes
  • Physical, virtual, and hybrid delivery formats
  • Individual participants and sponsoring institutions

2. Programme Registration and Nominations

2.1 Open-to-Public Programmes
Registrations may be completed by individuals or institutions through nomination forms, email confirmations, official correspondence, or online registration platforms.

2.2 In-House Programmes
In-house programmes are confirmed upon written acceptance of our proposal, issuance of a purchase order, or execution of an engagement letter.

2.3 Accuracy of Information
All registrants and nominating organisations are responsible for the accuracy of participant information provided. The Company shall not be liable for losses arising from incorrect or incomplete information.

3. Fees, Invoicing, and Payment Terms

3.1 Programme Fees
Programme fees shall be communicated in official brochures, proposals, invoices, or registration portals and may be quoted in GHS, USD, GBP, EUR, or other agreed currencies.

3.2 Payment Requirements

  • Open-to-public programmes: Full payment is required prior to programme commencement unless otherwise agreed in writing.
  • In-house programmes: Payment terms shall be governed by the approved proposal or engagement letter.

3.3 Taxes and Statutory Charges
All applicable taxes, levies, and statutory deductions shall be borne by the client or participant in accordance with applicable laws, unless expressly stated otherwise.

3.4 Non-Attendance
Failure to attend a confirmed programme for any reason does not entitle the participant or sponsoring institution to a refund.

4. Cancellations, Substitutions, Transfers, and Administrative Charges

4.1 Open-to-Public Programme Cancellations

Cancellations must be communicated formally in writing.

Administrative charges cover programme planning, faculty commitment, materials preparation, logistics, and platform or venue costs.

4.2 Late Notification and No-Show Charges

Where a participant or institution:

  • Fails to notify cancellation in writing within the stated timelines, or
  • Confirms participation but does not attend (“no-show”),

The full programme fee (100%) shall be payable and non-refundable.

4.3 Substitutions

Participant substitutions are permitted at no additional cost, provided written notification is received at least 48 hours before programme commencement.

5. In-House Programme Cancellations and Postponements

For in-house or customised programmes:

  • Cancellation less than 21 calendar days before commencement may attract charges of 30%–70% of the total programme value.
  • Cancellation within 7 calendar days of commencement may attract charges of up to 100%, depending on costs already incurred.

These charges cover facilitator engagement, curriculum development, logistics, travel, accommodation, and third-party commitments.

6. International Programmes – Visa and Travel-Related Provisions

6.1 Visa Responsibility
Participants are solely responsible for obtaining entry visas, travel documentation, insurance, flights, and accommodation for international programmes, unless explicitly stated otherwise.

6.2 Visa Refusal or Delay
Where a participant is unable to attend an international programme due to visa refusal, delay, or non-issuance:

  • The participant or sponsoring institution shall be liable for a non-refundable administrative charge of not less than 40% of the programme fee.
  • Where notification of visa refusal is received less than 10 calendar days to programme commencement, the administrative charge shall increase to up to 70% of the programme fee.

6.3 Optional Credit in Exceptional Circumstances
At the Company’s discretion, and subject to written evidence of visa refusal, a partial credit (net of administrative charges) may be applied to a future programme within 12 months.

6.4 Excluded Costs
The Company shall not be liable for losses relating to visa application fees, travel bookings, accommodation, insurance, or other incidental expenses.

7. Programme Changes and Force Majeure

7.1 Programme Adjustments
The Company reserves the right to amend programme content, facilitators, schedules, venues, or delivery format where necessary.

7.2 Force Majeure
The Company shall not be liable for delays or cancellations arising from events beyond its reasonable control, including pandemics, government restrictions, travel bans, civil unrest, or natural disasters.

8. Intellectual Property

All training materials and intellectual property provided remain the exclusive property of JPCann Associates Limited and may not be reproduced, recorded, or distributed without prior written consent.

9. Confidentiality

All proprietary or sensitive information exchanged during programme delivery shall be treated as confidential by all parties.

10. Code of Conduct

Participants are expected to conduct themselves professionally. The Company reserves the right to remove disruptive participants without refund.

11. Limitation of Liability

The Company’s total liability, if any, shall be limited to the programme fees paid. No liability shall attach for indirect or consequential losses.

12. Data Protection

Participant data shall be processed in accordance with applicable data protection laws and used solely for legitimate programme administration purposes.

13. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the Republic of Ghana. The courts of Ghana shall have exclusive jurisdiction.

14. Acceptance of Terms

Submission of a nomination, registration, purchase order, confirmation, or payment constitutes unconditional acceptance of these Terms.
